Welcome to ClipDeck, operated by Hillsden Ventures LLC ("we," "us," or "our"). By accessing or using the ClipDeck application or website (collectively, the "Service"), you agree to be bound by these Terms of Use.

1. Eligibility

You must be at least 18 years old to use this Service. By using ClipDeck, you represent and warrant that you meet this age requirement.

2. About ClipDeck

ClipDeck is a "reader app" that enables users to discover, stream, and share podcast content. We do not host or publish podcast episodes ourselves. Full episode audio is streamed directly from the original podcast publishers' servers via RSS feeds. We provide links to full episodes so users can access the complete content from the original source.

ClipDeck also features short audio clips (limited to 180 seconds or less) from podcast episodes, designed to help listeners discover episodes they may enjoy. These short clips are intended to promote podcast discovery and fall within fair use principles for commentary, criticism, and promotion of the original works.

3. User Conduct

You agree not to:

• Post illegal, harmful, threatening, abusive, harassing, defamatory, or hateful content
• Upload sexually explicit or obscene material
• Infringe on copyrights, trademarks, or other intellectual property rights
• Engage in spam, scams, fraud, or deceptive practices
• Attempt to interfere with, compromise, or disrupt the Service
• Use the Service for any unlawful purpose

User-Recorded Audio Clips

ClipDeck allows users to record and share their own original audio clips using their device's microphone. When recording clips, you agree to:

• Only record and share content that you have created or have the right to share
• Not record or share copyrighted music, audio from other podcasts, or third-party content without permission
• Ensure your recordings comply with all applicable laws, including privacy and defamation laws
• Obtain consent from any individuals whose voices are included in your recordings, where required by law
• Take responsibility for the content of your recordings

4. User-Generated Content & License Grant

You retain ownership of any content you create and upload to ClipDeck, including audio clips, episodes, comments, and other materials ("User Content"). However, by posting, uploading, or otherwise submitting User Content to the Service, you grant Hillsden Ventures LLC and its affiliates a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to:

• Use, reproduce, modify, adapt, publish, translate, and create derivative works from your User Content
• Display, perform, and distribute your User Content in any media formats and through any media channels, whether now known or later developed
• Use your username, display name, voice, likeness, and image in connection with your User Content
• Allow other users of the Service to view, access, store, and reproduce your User Content for personal, non-commercial use

This license allows us to operate and improve the Service, promote content, and provide features such as content discovery, recommendations, and sharing. This license continues even if you stop using the Service or delete your content, to the extent it has been shared, distributed, or copied by others or is needed for archival or legal purposes.

You represent and warrant that you have all necessary rights to grant this license and that your User Content does not infringe upon the rights of any third party.

Creator Content: If you are a Creator-tier user, you may upload longer-form episodes (up to 20 minutes). The same license terms apply to all Creator content. By uploading episodes, you confirm you have the rights to all audio content, including any music, sound effects, or third-party materials included.

5. Intellectual Property & DMCA

We respect intellectual property rights and are committed to responding promptly to any claims of infringement. If you are a content owner or publisher and would like content removed from ClipDeck, we will process your request within 24 hours.

You may also contact us directly at support@clipdeck.fm. We will respond to valid takedown requests promptly and may remove or disable access to allegedly infringing content.

6. Subscriptions & Payments

ClipDeck offers optional paid subscriptions ("ClipDeck Verified"). On iOS devices, subscriptions are processed through Apple's App Store and are subject to Apple's terms. Payment will be charged to your Apple ID account at confirmation of purchase. Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period. You can manage and cancel subscriptions in your device's Account Settings.

7. Account Termination

We reserve the right to suspend or terminate accounts that violate these Terms, at our sole discretion and without prior notice. You may delete your account at any time by contacting support@clipdeck.fm.

8. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee the accuracy, completeness, or reliability of any content. We are not responsible for content created by users or third-party podcast publishers.

9. Limitation of Liability

To the maximum extent permitted by law, Hillsden Ventures LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.

10. Governing Law

These Terms are governed by the laws of the State of Utah, United States, without regard to conflict of law principles.

12. Changes to Terms

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the updated Terms. We encourage you to review this page periodically.

14. Content Sourcing & Compliance

ClipDeck sources and streams podcast content exclusively from publicly-published RSS feeds and licensed data providers. This is the same content distribution model used by Apple Podcasts, Overcast, Pocket Casts, and the broader podcast ecosystem.

How It Works

• RSS Feeds: Podcast publishers create and distribute public RSS feeds specifically to enable third-party podcast applications to index and stream their content. ClipDeck consumes these publicly-available feeds.
• Listen Notes API: ClipDeck also uses Listen Notes, a licensed podcast data provider that explicitly authorizes streaming and clip creation. Listen Notes states: "Absolutely, you can legally stream podcast audio on your apps or websites using Listen API" and describes apps like ClipDeck as "reader apps" that stream content directly from publisher audio URLs.
• Full Episode Streaming: Full episodes are streamed directly from the original publisher's hosting servers (e.g., Megaphone, Simplecast, Libsyn). ClipDeck does not re-host or redistribute complete episode audio files.
• Preview Clips: Short audio previews (limited to approximately 2.5 minutes) are provided to help listeners discover episodes they may enjoy. Every preview links directly to the full episode at its original source, driving listeners and play counts back to the publisher.

Content Removal

ClipDeck respects all intellectual property rights and maintains a DMCA-compliant content removal process. Any content owner or publisher can request removal at support@clipdeck.fm, and content will be removed within 24 hours. Content is never scraped or obtained surreptitiously.
